Article I: Name
The name of this association is the University of Georgia Graduate Student
Chapter of the American Association of Pharmaceutical Scientists (UGA-AAPS).

Article II: Purpose
The purpose of UGA-AAPS is:
A. to increase student participation in activities of AAPS at local,
regional, and national levels;
B. to increase student awareness of career opportunities in the pharmaceutical
sciences;
C. to increase student awareness of the latest advances and discoveries
in the pharmaceutical sciences;
D. to provide educational opportunities for students in the pharmaceutical
sciences to learn about all aspects of drug development;
E. to provide students in the pharmaceutical sciences with opportunities
for professional advancement and leadership development; and
F. to foster participation in outreach activities that further the
goals and objectives of AAPS.

Article III: Membership
Any graduate student in the Department of Pharmaceutical and Biomedical Sciences
in the College of Pharmacy at UGA who is currently a member of the national
association, AAPS, will be extended membership upon affiliation. Any
student, undergraduate, graduate, or post-doc, on the campus of UGA who is
also a member of the national association, AAPS, is eligible to affiliate
with UGA-AAPS. Members of student chapters must also be members of
AAPS according to AAPS procedures. Membership may not be denied to
any AAPS member on the basis of gender, race, nationality, ethnicity, religion,
creed, handicap, or socio-economic status.

Article IV: Dues and Payment
At the time of the enactment of this Constitution, no additional dues will
be collected.

Article V: Officers & Organization
A. Officers
1. AAPS procedure states each affiliate must elect
a Chair, Vice-Chair, and Secretary/Treasurer, with the Vice-Chair and Secretary/Treasurer
to be elected annually and the Chair to
be succeeded at the end of his or her one year term by
that year's Vice-Chair.
2. This chapter has four positions, Chair, Vice-Chair,
Secretary, and Treasurer. Elections are for Chair/Vice-Chair together;
the candidate with the highest votes taking
the Chair, the second highest taking the Vice-Chair.
Election of Secretary and Treasurer takes place annually with election of
Chair/Vice-Chair; each position is voted for separately.
3. A majority of all 4 officers and our faculty representative
will be necessary to change this organizational structure.
B. Faculty Representative: The graduate student advisor for the
Department of Pharmaceutical and Biomedical Sciences in the College of Pharmacy
at UGA shall be the Facutlry
Representative. His or her role shall be to review
the annual report of the chapter and for advisement. For continuity's
sake, he or she shall sit in officer voting procedures concerning
organizational structure.
C. Executive Committee: The Executive committee will conduct the
main business of UGA-AAPS. The Executive Committee shall be chaired
by the Chair of UGA-AAPS and shall be
comprised of Chair, Vice-Chair, Secretary, Treasurer, and
Faculty Representative.
D. Committees and non-executive positions: The Chair may appoint
committees and non-executive posts to carry out certain Chapter business,
including but not limited to membership
recruitment, seminar speaker activities and invitations,
and social events.

Article VI: Meetings
A. Executive Committee: The Executive Committee must meet at
least three times per year.
B. Chapter Meetings: At least one Chapter meeting must be held
in each of Fall and Spring terms.

Article VII: Quorum/Majority
Majority of officers means majority of total Officers. Majority of
members means majority of members present, providing that at least 10 members
are present. Constitutional Amendments require majority of total membership
vote. Total membership shall be assessed at the beginning of each year,
either by email announcement or in Chapter Meeting.

Article VIII: Amendments
Amendment of this constitution shall be made under the circumstance of a
majority vote of the full Chapter membership and majority vote of the Executive
Committee; without a majority vote of both bodies, this Constitution
shall not be amended. Either the Executive Committee or members may
suggest amendment. Amendments must be in accordance with national organization,
AAPS, laws and by-laws.

Article IX: Ratification
Draft of this constitution shall be submitted to the Executive Committee.
After agreed-upon changes, this constitution shall be posted on the UGA-AAPS
website for review of members. A one month period shall be given to
Chapter members to review this constitution and suggest changes. After
the one month period, if no suggestions have been made, this Constitution
shall stand until majority vote at the next Chapter meeting has been collected.

By-Laws:
1. Officers who miss an inordinate amount of Executive Committee meetings
may be asked to resign. Officers who flagrantly shirk their duties
may be asked to resign. Officers who abuse club funds shall be asked
to resign and membership status shall be revoked indefinitley and notice
shall be sent to the national organization, AAPS. Officers who verbally
or physically abuse other officers or members shall be asked to resign and
notice shall be sent to the national organization, AAPS. Officers may
be asked to resign only during meeting of Executive Committee, and only by
an Executive Committee member; Faculty Advisor's attendance is not
necessary.
2. Members have the right to view the annual report. Members have the right to question leadership decisions. Members with complaints about leadership or organization are required to take up such matter with Chair or Vice-Chair or Faculty Representative.
3. Meetings, both of the Executive Committee and General Chapter meetings, shall be informal. At the request of any member or officer, Robert's Rules of Order may be imposed. At such request, meeting will follow such Rules and, subsequent meetings for that year must be convened under such Rules, unless the majority votes to restore informal procedures; a call for such a vote shall be made by the Secretary at the beginning of each so-covened meeting. A copy of Robert's Rules of Order must be kept by the Chair, Vice-Chair, or Secretary during such convened meeting. Once Robert's Rules have been called, a copy of Robert's Rules must be provided by the member who calls for parlimentary procedure to the Officers.
4. Duties: The duties of the Secretary shall be to compile the general annual report, announce upcoming chapter events and meetings, and keep the chapter and officers posted on the status of chapter business. The duties of the Treasurer shall be to compile the annual financial report, solicit funds from the College of Pharmacy and teh UGA Department of Student Affairs, and arrange for payments and reimbursements regarding chapter events. Duties of the Chair and Vice-Chair shall be to run chapter and executive meetings, to serve as contacts for AAPS and the UGA College of Pharmacy Faculty, and to initiate and oversee chapter events. The Faculty Representative must read the completed annual report and suggest changes before its submission to the national organization. The Chair, or Vice-Chair in the absence of the Chair, must submit the annual report to the national organization, AAPS.
5. Members are expected to act respectfully to fellow members and any facutly or guests. Members may be disciplined for misconduct, by removal from meeting or expulsion from Chapter, as Executive Committee deems necessary. The definition of misconduct shall be to the discrepancy of present members of the Executive Committee.
6. Officers and members are expected to abide by the procedures of the UGA Department of Student Activities.
7. By-laws may be amended by suggestion of members or Executive Committee. Suggested changes of the by-laws must be made in Chapter meeting. Changes suggested by a member will be voted on during the next Chapter meeting. Changes suggested by the Officers may be made during Chapter meeting only after prior discussion in Executive Committee or officer meeting. Changes suggested by Officers will be voted on during same Chapter meeting unless a member moves to postpone vote until next Chapter meeting. Votes concerning constitutional changes that have already been discussed during a Chapter meeting may be collected via campus mail or e-mail.
